General Terms and Conditions
Section 1 – Provider, inclusion by reference of the General Terms and Conditions
(1) The Provider and contracting party for the services presented on our website “https://www.studysupportgermany.com/” is SSG Study Support Germany UG, Behaimstr 13, Berlin, phone 01738781015, e-mail email@studysupportgermany.com (referred to hereinbelow as the “Provider”, “we” or “us” for short).
(2) The present General Terms and Conditions are a component part of any contractual agreement made between the Provider and the respective Customer. We hereby object to any terms and conditions that the Customer may have established.
Section 2 – Services offered and conclusion of contract
(1) The selection of an offer, conclusion of contract and implementation of the agreement shall all take place in German or English to the Customer’s discretion.
(2) The Provider is making a binding offer for providing the services presented on the website. By transmitting the order using the button “binding contract with an obligation to pay” the Customer accepts the Provider’s offer. The Provider shall confirm the conclusion of the contract by e-mail (contract confirmation).
(3) Before finally placing the purchase order, the Customer is shown an overview of the data recorded for his order, including the essential characteristics of the services. At this point, the Customer may check the data for any incorrect input and, if necessary, go back one or more steps in the order process to change the data or completely discontinue the order.
(4) After conclusion of the contract, the Provider sends the content of the contract (contract text) to the Customer by e-mail. At the same time, the Provider stores the contract text in his electronic data processing. If the Customer has a customer account with the Provider, the Customer can also access the contract text in his customer account. Otherwise it is the Customer’s responsibility to save the e-mail with the contract text for later reference.
Section 3 – Prices and payment
(1) All product prices are total prices. Prices include VAT.
(2) The Customer can use the following payment methods for his order: PayPal, Stripe.
(3) For services provided towards customers outside the European Union, the Customer may be obliged to pay import tax to his local tax authority (“Reverse Charge”). The Provider has no means of influencing this local tax.
Section 4 – Digital contents
(1) A product offered as recorded digital content to be provided by e-mail, as download or otherwise for electronic retrieval will not be delivered by post.
(2) The reception of digital content requires that the Customer has an internet connection. The Provider points out that the Customer’s network supplier may charge the Customer extra costs for the data traffic; the Provider has no means of influencing them.
(3) Where the Provider makes a digital content available for download, the Provider guarantees an up-time of the download server of 99% on average for a calendar month.
(4) If the Customer is a consumer and expressly consents that the contract shall be performed already before expiration of the withdrawal period and the Customer acknowledges that he thereby loses his right of withdrawal, the Provider shall deliver the digital content immediately. In all other cases, the Provider shall deliver the digital content after expiration of the withdrawal period.
Section 5 – Consultancy
(1) Consultancy sessions shall take place on the agreed date and time at the Provider’s place of business, unless another location or a remote session by video conference has been agreed.
(2) For online sessions, the Customer shall receive the necessary access information after payment of the agreed fee. It is the Customer’s responsibility to keep the access information protected from access by third parties.
(3) Participation in an online session requires that the participant has an Internet-capable terminal with microphone and camera, and an Internet connection with download and upload bandwidths of at least 6 MBit/s.
(4) Consultancy sessions – where provided online – are no distance learning in terms of § 1 FernUSG (German Distance Learning Act).
(5) Recording video and/or audio data of consultancy sessions is not permitted.
Section 6 – Right of withdrawal for consumers
(1) A Customer ordering as consumer may be entitled to a right of withdrawal in accordance with the statutory pre-requisites. A consumer means every natural person who enters into a legal transaction for a purpose that is mainly outside his commercial or self-employed professional activity.
(2) The pre-requisites and legal consequences of the German stipulations as to consumers’ rights of withdrawal shall apply to consumers having their permanent residence outside of Germany also in those cases in which the consumer’s national law does not provide for a right of withdrawal or provides for a shorter withdrawal period or for stricter requirements as to form.

Section 7 – Advantages and limitations of consultancy services
We always consult to the best of our knowledge and belief. Our advice can provide you with valuable suggestions and practical assistance. However, please note that we cannot promise any specific outcome, unless this is expressly stated in our quotation.
Section 8 – Warranty
Warranty claims shall be governed by the statutory regulations.
Section 9 – Out-of-court Dispute Resolution
We are neither obliged nor willing to participate in consumer dispute resolution proceedings.
Section 10 – Final provisions
(1) The laws of the Federal Republic of Germany shall apply, to the exclusion of the United Nations Convention on the International Sale of Goods (UNCISG). However, German law shall not apply to transactions with consumers having their permanent residence abroad to the extent the national laws applicable to those consumers set out provisions that cannot be contracted out to the detriment of the consumers.
(2) Where the Customer is a merchant, an entity under public law or special assets (Sondervermögen) under public law, the parties agree that the Provider’s registered office shall be the exclusive place of jurisdiction.
(3) Should individual provisions of the present General Terms and Conditions prove to be invalid or impossible to implement, this shall not affect the validity of the remaining provisions.
Allgemeine Geschäftsbedingungen
§ 1 – Anbieter, Einbeziehung der AGB
(1) Anbieter und Vertragspartner für die auf unserer Seite „https://www.studysupportgermany.com/“ dargestellten Leistungen ist SSG Study Support Germany UG, Behaimstr 13, Berlin, Telefon 01738781015, E-Mail email@studysupportgermany.com (im Folgenden kurz „wir“).
(2) Diese allgemeinen Geschäftsbedingungen sind Bestandteil jeder vertraglichen Vereinbarung zwischen uns und Ihnen. Sofern Sie selbst AGB verwenden, widersprechen wir diesen.
§ 2 – Leistungen und Vertragsschluss
(1) Vertragsschluss und Vertragsabwicklung erfolgen nach Ihrer Wahl in deutscher oder englischer Sprache.
(2) Für die Erbringung der dargestellten Leistungen geben wir ein verbindliches Angebot ab. Sie können das Angebot annehmen, indem Sie Ihren Bestellwunsch über den Button „zahlungspflichtigen Vertrag schließen“ übermitteln. Wir werden Ihnen den Vertragsschluss sodann per E-Mail bestätigen (Vertragsbestätigung).
(3) Im letzten Bestellschritt – bevor Sie unser Angebot verbindlich annehmen – zeigen wir Ihnen eine Übersicht der für die Bestellung erfassten Leistungen einschließlich ihrer wesentlichen Merkmale an. Sie können an dieser Stelle die Daten auf mögliche Eingabefehler prüfen und, wenn nötig, einen oder mehrere Schritte im Bestellablauf zurückgehen, um die Daten zu ändern oder die Bestellung insgesamt abzubrechen.
(4) Wir übersenden Ihnen nach Vertragsschluss den Inhalt des abgeschlossenen Vertrags (Vertragstext) per E-Mail. Gleichzeitig speichern wir den Vertragstext in unserer elektronischen Datenverarbeitung. Wenn Sie ein Kundenkonto bei uns eingerichtet haben, so können Sie auf den Vertragstext auch in Ihrem Kundenkonto zugreifen. Anderenfalls sollten Sie die E-Mail mit dem Vertragstext im eigenen Interesse sorgfältig aufbewahren.
§ 3 – Preise und Bezahlung
(1) Alle Preise verstehen sich als Gesamtpreise. Die Entgelte enthalten die gesetzliche Umsatzsteuer.
(2) Zur Bezahlung kann der Kunde folgende Zahlungsmethoden nutzen: PayPal, Stripe.
(3) Bei Leistungen an einen Kunden außerhalb der Europäischen Union kann Einfuhrumsatzsteuer anfallen, die der Kunde an seine lokale Finanzbehörde zu zahlen hat. Auf die Erhebung dieser lokalen Steuer haben wir keinen Einfluss.
§ 4 – Digitale Inhalte
(1) Ein Produkt, das als aufgezeichneter digitaler Inhalt per E-Mail, zum Download oder auf sonstige Weise zum elektronischen Abruf angeboten wird, wird nicht postalisch versandt.
(2) Der Empfang digitaler Inhalte setzt voraus, dass Sie über eine Internetverbindung verfügen. Wir weisen darauf hin, dass Ihr Netzbetreiber Entgelte für den Datenempfang erheben kann, auf die wir keinen Einfluss haben.
(3) Sofern wir einen digitalen Inhalt zum Abruf bereitstellen, gewährleisten wir eine zeitliche Erreichbarkeit (Up-Time) des Download- oder sonstigen Webservers von 99% im Durchschnitt eines Kalendermonats.
(4) Wenn Sie als Verbraucher ausdrücklich verlangen, dass wir einen Vertrag über digitale Inhalte bereits vor Ablauf der Widerrufsfrist ausführen sollen, und bestätigen Sie, dass hierdurch Ihr Widerrufsrecht erlischt, so stellen wir Ihnen den digitalen Inhalt unverzüglich nach Zahlung bereit. Anderenfalls stellen wir den digitalen Inhalt erst nach Ablauf der Widerrufsfrist bereit.
§ 5 – Beratung
(1) Beratungstermine finden zum vereinbarten Termin am Sitz des Anbieters statt, sofern nicht ein anderer Ort oder die Durchführung als Videokonferenz vereinbart ist.
(2) Sofern Zugangsdaten für die Teilnahme an einer online durchgeführten Beratung erforderlich sind, erhalten Sie diese nach Zahlung des vereinbarten Entgelts. Bitte achten Sie darauf, Zugangsdaten stets geschützt vor dem Zugriff durch Dritte aufzubewahren.
(3) Ihre Teilnahme an einer online durchgeführten Beratung setzt voraus, dass Sie über ein internetfähiges Endgerät mit Mikrofon und Kamera sowie eine Internetverbindung mit einer Bandbreite von wenigstens 6 MBit/s im Download und Upload verfügen.
(4) Unsere Beratung – sofern online durchgeführt – stellt keinen Fernunterricht im Sinne des § 1 FernUSG dar.
(5) Die Aufzeichnung von Video- und/oder Audio-Daten von Beratungssitzungen ist unzulässig, es sei denn, dass der Anbieter, der Kunde und etwaige weitere Teilnehmer für den Einzelfall ausdrücklich zugestimmt haben.
§ 6 – Verbraucher-Widerrufsrecht
(1) Einem Kunden, der einen Vertrag als Verbraucher schließt, kann ein Widerrufsrecht gemäß den gesetzlichen Bedingungen zustehen. Verbraucher ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit zugerechnet werden können.
(2) Einem Verbraucher mit ständigem Aufenthalt außerhalb Deutschlands räumt der Anbieter ein Verbraucher-Widerrufsrecht gemäß den deutschen Voraussetzungen und Rechtsfolgen auch dann ein, wenn das nationale Recht des Verbrauchers kein Widerrufsrecht vorsieht oder den Widerruf an eine kürzere Frist oder an eine strengere Form knüpft als nach deutschem Recht.
(3) Die Einzelheiten ergeben sich aus der Widerrufsbelehrung.
§ 7 – Möglichkeiten und Grenzen des Beratungsangebots
Wir führen unsere Beratung stets nach bestem Wissen und Gewissen durch. Unsere Beratung kann Ihnen wertvolle Anregungen geben und eine praktische Hilfestellung sein. Bitte beachten Sie aber, dass wir dennoch keinen bestimmten Erfolg versprechen können, es sei denn, ein solcher ist ausdrücklich in der Angebotsbeschreibung genannt.
§ 8 – Gewährleistung (Mängelhaftung)
Es bestehen Gewährleistungsansprüche des Bestellers (auch Mängelhaftungsrechte genannt) gemäß den gesetzlichen Vorschriften.
§ 9 – Außergerichtliche Streitbeilegung
Wir sind weder verpflichtet noch bereit, an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle teilzunehmen.
§ 10 – Schlussbestimmungen
(1) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts. Gegenüber Verbrauchern mit ständigem Aufenthalt im Ausland findet das deutsche Recht jedoch keine Anwendung, soweit das nationale Recht des Verbrauchers Regelungen enthält, von denen zu Lasten des Verbrauchers nicht durch Vertrag abgewichen werden kann.
(2) Ist der Kunde Kaufmann, eine juristische Person des öffentlichen Rechts oder ein öffentlichrechtliches Sondervermögen, so vereinbaren die Parteien als ausschließlichen Gerichtsstand den Sitz des Anbieters.
(3) Sollten sich einzelne Bestimmungen dieser allgemeinen Geschäftsbedingungen als unwirksam oder undurchführbar erweisen, so berührt dies nicht die Wirksamkeit der übrigen Bestimmungen.
